D Consultants is a Dubai-based consultancy providing technology, artificial intelligence, data, software, application, CRM, enterprise, digital transformation, marketing, SEO, GEO, AIO and support services. You must be at least 18 years old and legally capable of entering into these Terms. The website is intended primarily for business and professional users. You may not use the website if applicable law prohibits you from doing so.

These Terms govern website use. Paid consulting, development, managed service, software, subscription, licensing or support work is normally governed by a proposal, order form, statement of work, master services agreement, service level agreement or other written contract.

If a signed or expressly accepted written agreement conflicts with these Terms, that agreement controls for the relevant service. A data processing agreement controls for personal data processed on a client's behalf. Product-specific terms control for the relevant product. These Terms do not alter an existing signed agreement unless that agreement expressly says so.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the website for lawful business information and evaluation. We may modify, suspend or discontinue any website feature, content or link. We do not promise that every page or feature will always be available, error-free or compatible with every device.

You must not, and must not help another person to:

• Use the website unlawfully, fraudulently, deceptively or in a way that infringes another person's rights.
• Attempt to gain unauthorised access to systems, accounts, data, source code or non-public areas.
• Introduce malware, harmful code, denial-of-service activity or an unreasonable technical load.
• Probe, scan or test security without our prior written authorisation and an agreed scope.
• Scrape, crawl, harvest or extract content or personal data through automated means, except for a public search engine operating in accordance with our robots instructions or with our written permission.
• Copy, frame, mirror, republish, sell or commercially exploit website content except as law or written permission allows.
• Remove intellectual-property, attribution, confidentiality or security notices.
• Impersonate another person, misstate affiliation, submit false information or use another person's contact data without authority.
• Use the website or any output to discriminate unlawfully, facilitate abuse, violate privacy, send spam or make prohibited high-impact automated decisions.

Submitting a form, requesting a proposal, attending a discovery call or receiving preliminary advice does not by itself create a client relationship, exclusivity obligation, fiduciary duty or commitment to provide services.

A quotation or proposal remains subject to its stated assumptions, exclusions, validity period, tax treatment, third-party costs, dependencies and approval process. A service contract is formed only when authorised representatives accept the applicable written agreement or order through a legally valid written or electronic method and any stated conditions are satisfied.

Do not rely on a project scope, price, deadline, resource allocation or performance commitment unless it appears in the applicable written agreement. Changes to scope, assumptions, integrations, client inputs or third-party requirements may require a revised price and timeline.

Website content, case examples, estimates, demonstrations, articles, calculators and free materials are general information. They are not legal, financial, tax, medical, cybersecurity certification or investment advice. Obtain qualified advice for regulated or high-risk decisions.

Technology, AI, search, advertising and marketing results depend on many factors outside our control, including platform algorithms, client approvals, data quality, market conditions, budgets, competition, third-party systems and user behaviour. Unless a signed agreement states a specific commitment, we do not guarantee search rankings, AI citations, leads, sales, revenue, savings, conversion rates, uptime, model accuracy or a particular business outcome.

Website demonstrations or services may use artificial intelligence or automated workflows. AI outputs may be inaccurate, incomplete, outdated, biased, non-unique or unsuitable for a particular purpose. You must apply competent human review before relying on an output or using it in a decision, publication, campaign, customer interaction, codebase or production system.

You must have the necessary rights and lawful basis for data, prompts, files, recordings or instructions you provide. Do not submit confidential, sensitive, regulated or third-party personal data through a public AI interface unless the interface, your organisation and applicable law authorise it.

You retain ownership of materials you submit. You grant D Consultants a limited, worldwide, non-exclusive licence to host, copy, transmit, adapt and otherwise use those materials only as needed to respond to your request, secure the website, evaluate a proposed engagement or perform an applicable agreement.

You confirm that your submission is accurate, lawful and does not infringe intellectual property, privacy, confidentiality, contract or other rights. Do not send trade secrets or highly confidential material through a general contact form. A confidentiality obligation applies only when a written agreement creates one or applicable law independently requires one.

If you provide feedback or suggestions about our website or services, we may use them without restriction or payment, provided we do not publicly identify you without permission.

The website and its software, design, text, graphics, videos, databases, logos, trademarks, service marks, methods and other content are owned by or licensed to D Consultants and are protected by applicable intellectual-property laws. Except for the limited access right in these Terms, no right or licence is granted by implication.

Ownership and licensing of client deliverables, source code, designs, datasets, models, templates, documentation, background technology and third-party materials are determined by the applicable written client agreement. Website descriptions do not transfer project intellectual property.

The website may mention or link to third-party platforms, software, APIs, cloud services, social networks or payment providers. Third parties control their own services, terms, pricing, availability, security and data practices. We are not responsible for a third-party service merely because we link to, integrate with or recommend it. Your use of a third-party service is subject to its terms.

Our Privacy Policy explains how we process personal data. By using the website, you acknowledge that data will be processed as described in that policy and any applicable collection notice. These Terms do not reduce any non-waivable data-protection right.

To the maximum extent permitted by law, the website and free content are provided on an "as is" and "as available" basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted availability. We do not warrant that the website is free from every vulnerability, error or harmful component.

Any warranty, service level, remedy or acceptance test for paid services must be stated in the applicable written agreement. Nothing in these Terms excludes a warranty or right that applicable law does not permit us to exclude.

To the maximum extent permitted by law, D Consultants and its directors, employees, contractors and suppliers will not be liable in connection with the website or free content for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profit, revenue, opportunity, goodwill, anticipated savings or data.

For claims arising solely from use of the website or free content, our aggregate liability will not exceed AED 1,000. Liability for paid services is governed by the applicable written agreement. If you pay for a service directly through the website without a separate liability clause, our aggregate liability relating to that service will not exceed the amount you paid for it during the 12 months before the event giving rise to the claim.

The exclusions and caps do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be limited. They also do not reduce mandatory consumer or data-protection rights.

If you use the website for commercial purposes, you will be responsible for losses, claims, penalties and reasonable costs arising from your unlawful misuse of the website, infringement by materials you submit, or material breach of Section 5, to the extent permitted by law. This obligation does not apply to losses caused by D Consultants or to a consumer beyond what mandatory law permits.

We may restrict or terminate access if we reasonably believe you breached these Terms, created a security or legal risk, interfered with the website or exposed D Consultants or another person to harm. Provisions that by their nature should survive termination, including intellectual property, disclaimers, liability, responsibility for misuse and governing law, will survive.

These Terms are designed mainly for business users. If you qualify as a consumer, mandatory rights under the law that applies to you remain unaffected. Any term that conflicts with a non-waivable consumer right applies only to the maximum lawful extent.

You agree that notices, proposals, acceptances and records may be delivered electronically where law permits. You are responsible for keeping your contact details current. An electronic communication does not create a paid service obligation unless the applicable contract-formation requirements in Section 6 are met.

We may update these Terms to reflect changes in law, technology, website functionality or business practices. The updated version takes effect when posted with a new effective date, unless law requires additional notice. Changes do not retroactively alter a signed client agreement.

If a provision is unlawful or unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions will continue. A delay in enforcing a right is not a waiver. You may not assign these Terms without our written consent. We may assign them as part of a merger, restructuring, sale or transfer of the relevant business. These Terms, together with documents expressly incorporated into them, form the entire agreement about website use.

Neither party is liable for delay caused by events beyond reasonable control in relation to an obligation that can lawfully be excused, but this does not excuse payment already due or an obligation that the law does not permit to be excluded.

These Terms and non-contractual obligations arising from them are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Subject to any mandatory consumer jurisdiction, the courts of Dubai have exclusive jurisdiction. The parties may agree to a different dispute process in a signed client agreement.

These Terms are written in English. A translation may be provided for convenience. To the extent permitted by law, the English version controls if a translation differs.
